SpaDekho is a marketplace operated by SpaDekho Wellness Pvt. Ltd. ("SpaDekho", "we", "us", "our") that helps users in Gurugram and Delhi NCR discover, book and review spas, massage centres and wellness parlours ("Partners"). By accessing the platform, creating an account, listing a spa or making a booking, you agree to these Terms & Conditions.

If you are accepting these terms on behalf of a business (a Partner), you confirm you are authorised to bind that business.

SpaDekho is an intermediary that connects customers with independent Partners. The actual spa, massage and wellness services are provided by the Partner, not by SpaDekho. We are not the provider of these services and are not a party to the service relationship between a customer and a Partner.

We work hard to verify Partners and surface accurate information, but we do not guarantee the quality, safety, legality or outcome of any service delivered at a Partner location.

You are responsible for keeping your account details accurate and your login secure. Activity under your account is your responsibility. We may suspend or close accounts that breach these terms, misuse the platform, or create risk for other users or Partners.

Bookings made through SpaDekho are requests for a slot at a Partner and are confirmed only after payment is completed online through the platform. Offers and discounts - including first-visit discounts of up to 50% - are made available through the platform and may have conditions such as validity periods, eligibility (e.g. first-time visitors), applicable services, and per-user limits.

Discounts apply exclusively to bookings paid online through SpaDekho. Paying the Partner directly at the spa is not a supported payment method, and any amount paid outside the platform is not eligible for SpaDekho discounts, verification, refunds or dispute support.

Offers are promotional, may be limited in number, and may be changed, paused or withdrawn at any time before a booking is confirmed. A discount applies only when the eligibility conditions are met, the booking is paid online, and the visit is completed and verified.

SpaDekho may set fair-use limits to prevent abuse of offers (for example, repeated "first-visit" claims). We may cancel bookings or reverse discounts obtained through fraud, misuse or misrepresentation.

All payments for bookings are made online through SpaDekho. SpaDekho (or its payment partners) collects the full payment from the customer at the time of booking and then settles the Partner's share to the Partner. Cash or card payments made directly at a Partner location are not part of the SpaDekho booking and are not covered by platform discounts, protections or support.

Partners agree to receive payment for platform bookings exclusively through SpaDekho's settlement process and not to collect payment directly from customers for bookings made through the platform. Partners agree that SpaDekho earns a commission and/or platform fee on bookings and transactions facilitated through the platform, at the rates agreed during onboarding or notified from time to time. Applicable taxes are added as required by law. Payouts to Partners are made on the agreed settlement cycle after deducting commissions, fees, refunds, chargebacks and any amounts owed to SpaDekho.

Encouraging or accepting off-platform payment to avoid commissions, or to deny a customer their verified discount, is a breach of these terms and may lead to suspension or removal from the platform. We may adjust commission rates, fees or settlement cycles with reasonable prior notice to Partners. Continuing to use the platform after such notice constitutes acceptance.

Cancellation and refund eligibility depends on the timing of the cancellation and the specific offer or service booked. Where a customer cancels within an allowed window, eligible refunds are processed to the original payment method. No-shows and late cancellations may be non-refundable.

Partners are expected to honour confirmed bookings. Where a Partner cannot deliver a confirmed booking, SpaDekho may facilitate a refund or rescheduling and may recover the corresponding amount from the Partner.

To keep reviews trustworthy, customers may review a Partner only after a verified, completed visit. Reviews must be honest, based on genuine experience, and free of unlawful, abusive or misleading content. SpaDekho may remove reviews that breach these standards but does not edit reviews to change their meaning.

By listing on SpaDekho, a Partner represents and agrees that it will:

• hold all licences, registrations and permissions required to lawfully operate, and provide accurate verification documents on request;
• provide services through trained staff in a safe, hygienic and lawful manner, and comply with all applicable laws;
• keep listings, pricing, service menus, offers and availability accurate and up to date;
• honour confirmed bookings and the offers it publishes through the platform;
• not solicit customers introduced by SpaDekho to transact off-platform in order to avoid commissions, and not engage in fraudulent or misleading conduct.

Partners are independent businesses. Nothing in these terms creates an employment, partnership, franchise or agency relationship beyond the limited authority needed to facilitate bookings and payments.

The SpaDekho name, logo, platform, design and content are owned by SpaDekho. Partners grant SpaDekho a non-exclusive, royalty-free licence to use their name, logo, photos and listing content to promote their spa and the platform across our website, app and marketing channels. You may not copy, scrape or reuse SpaDekho's platform or content without permission.

The platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, SpaDekho is not liable for the acts, omissions, service quality or conduct of any Partner or customer, or for indirect, incidental or consequential losses.

Where SpaDekho is found liable despite the above, our total aggregate liability to you for any claim is limited to the total platform fees or commissions you paid to SpaDekho in respect of the transaction giving rise to the claim. Nothing in these terms excludes liability that cannot be excluded under applicable law.

Partners agree to indemnify SpaDekho against claims, losses and costs arising from the services they provide, their breach of these terms, or their non-compliance with applicable laws.

We may suspend or remove listings, accounts or access where there is a breach of these terms, risk to users, suspected fraud, or a legal requirement. Partners may request to leave the platform; amounts owed, completed bookings and obligations accrued before termination remain payable.

These terms are governed by the laws of India. The courts at Gurugram, Haryana have exclusive jurisdiction, subject to any applicable consumer protection rights you may have.
